How the Monitor is sourced and maintained

Published openly so the record can be checked, reused and criticised. A dataset whose rules are hidden is an opinion wearing a table.

The source hierarchy

Primary means the issuing body itself: a court’s own opinion index, a regulator’s own notice, a legislature’s own bill page, a securities filing, or a company’s own announcement about its own transaction or product. Secondary means established press and analyst coverage.

Press is never primary. A press figure never outranks a filed figure, and a firm’s client alert never substitutes for the instrument it summarises.

The three evidence states

The three states are never collapsed. “Nothing found”, “found but unread” and “source unreachable” are different statements, and reporting them as one is how an unverified matter migrates into a public record as fact.

Standing access disclosures

  • Some legal databases, including the principal free case-law hosts for Canada and Australia, refuse automated access. Quiet from those jurisdictions is a limitation of access, not a finding.
  • Some official hosts serve documents that cannot be machine-read. Those entries stay in the research queue until the document has been read.

Transaction price tiers

FILEDThe consideration is recorded in a securities filing of the acquirer. This is the controlling figure.
PRESSThe figure comes from press reporting and was not confirmed by the parties. It is carried with attribution and replaced when a filed figure publishes.
LOIThe transaction is reported at the letter-of-intent stage. Neither the deal nor the figure is settled.

A filed figure supersedes a press figure everywhere in the Monitor. One observation from the ledger itself, checkable row by row: in every case so far where a filed figure has followed a press figure, the filed figure has been lower.

The bounded-negative rule

The Monitor never asserts that a company, product or jurisdiction lacks something. The strongest negative it publishes is a bounded one: “Not located in reviewed public product materials”, or “none located in a search of the named register on the stated date”. A search has a scope and a date; an absence is a result of that search, not a fact about the world.

What the Monitor never publishes

  • No valuation of any company, including Regulayer, and no conclusion about what any transaction proves any company is worth.
  • No financing terms, ownership positions or investment recommendations.
  • No vendor scores, rankings or named-vendor comparisons. The typology page describes classes of evidence model, not products.
  • No entry below the source standard, however useful the gap would be to fill.

Review and corrections

Entries are reviewed when material developments occur. Transaction rows are re-checked when the acquirer’s next periodic filing publishes. Legal rows are re-checked when the instrument’s status changes: a stay, an amendment, a delayed application date, or an enforcement development, and the row states the change with its date.

Publisher. Regulayer maintains this Monitor. Regulayer sells evidence infrastructure, and the reader should weigh the record with that interest in view. That is why every entry names a source the reader can open without trusting the publisher.
